These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and AccountScope, a UK-based business ("we", "us", "our", or "AccountScope").

By accessing or using AccountScope (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

AccountScope provides AI-powered financial analysis tools for accounting and legal professionals, including:

Automated transaction extraction from PDF bank statements
AI-powered transaction categorisation and pattern detection
Financial reporting and forensic analysis
Secure data storage and export capabilities
API access (Enterprise tier only)

3. Eligibility

You must be:

At least 18 years old
A qualified accounting or legal professional (or acting on their behalf)
Authorised to agree to these Terms on behalf of your organisation (if applicable)

4. Account Registration

Account Security

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities under your account
You must notify us immediately of any unauthorised access
We are not liable for losses from unauthorised use of your account

Account Information

You must provide accurate and complete information
You must keep your information up to date
False or misleading information may result in account suspension

5. Subscription and Billing

Free Trial

14-day free trial on all plans
Full access to features during trial
No payment required to start trial
Trial automatically converts to paid subscription unless cancelled

Pricing

Current pricing displayed at accountscope.app/pricing
All prices in GBP (£) excluding VAT
VAT added at checkout (currently 20%)
Prices may change with 30 days' notice to existing customers

Payment Terms

Payments processed via Stripe (PCI-DSS compliant)
Monthly subscriptions billed on the same day each month
Annual subscriptions billed once per year
Failed payments may result in service suspension
You authorise automatic recurring charges

Cancellation

Cancel anytime via Billing settings or email
Access continues until end of billing period
No refunds for partial months
Data export available for 30 days after cancellation

Refund Policy

14-day money-back guarantee (first payment only)
No refunds for subsequent payments
Refunds processed to original payment method within 14 days

6. Acceptable Use

You agree NOT to:

Violate any laws or regulations
Upload malicious content (viruses, malware)
Attempt to gain unauthorised access to our systems
Reverse engineer, decompile, or disassemble the Service
Use the Service for illegal financial activities
Share your account with unauthorised users
Scrape or extract data via automated means (except approved API use)
Resell or sublicense the Service without permission

7. Data Ownership and Use

Your Data

You retain all ownership rights to your data
You grant us a licence to process your data to provide the Service
We will not sell or share your data with third parties (except as disclosed in Privacy Policy)

Data Accuracy

You are responsible for verifying the accuracy of AI-generated analyses
AccountScope is a tool to assist professionals, not replace professional judgement
Always review reports before relying on them

Export your data anytime (CSV, JSON, PDF)
Data export available for 30 days after account closure

8. Intellectual Property

Our IP

All rights, title, and interest in AccountScope (software, algorithms, design, branding) are owned by us. These Terms do not grant you any ownership rights.

Your IP

You retain all intellectual property rights to your uploaded documents and data.

9. Limitation of Liability

IMPORTANT: Please read this section carefully

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided "as is" without warranties of any kind
We do not guarantee accuracy, completeness, or reliability of AI-generated analyses
We are not liable for:
- Loss of profits, revenue, or business opportunities
- Loss of data (beyond data recovery from backups)
- Indirect, consequential, or punitive damages
- Third-party claims arising from your use
Our total liability shall not exceed fees paid in the 12 months before the claim

Nothing in these Terms excludes or limits liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any other liability that cannot be excluded under English law

10. Professional Use

Important for Professional Users: AccountScope is designed to assist qualified professionals. It does not replace professional judgement or advice.

Always verify AI-generated outputs before relying on them
Maintain professional standards and regulatory compliance
Use the Service only for lawful purposes
We provide professional indemnity insurance for our Services
You remain responsible for professional decisions and advice to clients

11. Service Availability

We aim for 99.9% uptime (excluding scheduled maintenance)
Scheduled maintenance notified 48 hours in advance
No guarantee of uninterrupted access
Service credits available for extended outages (Enterprise only)

12. Changes to Terms

We may update these Terms from time to time
Material changes notified via email 30 days in advance
Continued use after changes constitutes acceptance
If you don't agree, cancel your subscription before changes take effect

13. Termination

By You

Cancel anytime via Billing settings or email. Access continues until end of period.

By Us

We may suspend or terminate your account if:

You violate these Terms
Payment fails (after reasonable attempts to collect)
Your use poses security or legal risks

We will provide reasonable notice except in cases of serious breach.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales
Both parties irrevocably submit to this jurisdiction

15. Dispute Resolution

Before commencing legal proceedings, we encourage:

Contact us to resolve the issue informally
Mediation (via Centre for Effective Dispute Resolution or similar)
If unresolved, proceed to England and Wales courts

16. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and us
Severability: If any provision is invalid, the rest remain in effect
Waiver: Failure to enforce a right does not waive that right
Assignment: We may assign these Terms; you may not without our consent
Force Majeure: We are not liable for delays due to events beyond our reasonable control
